THEREFORE, IF ANYONE DISAGREES OR DOES NOT ACCEPT THEM, THEY MUST IMMEDIATELY STOP USING ALL PRODUCTS AND/OR SERVICES AND CEASE NAVIGATING ANY WEBSITE, APP, OR PLATFORM OWNED BY PURA MENTE.

These terms and conditions refer to the contents, products, or services (hereafter referred to as “Service” or “Services”) detailed on [www.puramente.app](http://www.puramente.app/) (the “Website”), through our website, app, or platform, or via other usage methods, such as third-party app stores like Apple’s App Store or Google’s Play Store. Individuals who register on the Pura Mente app are referred to as “User or Users.”

Please read these terms and conditions before using any Service.

You may retain or print the current terms available on our Website at any time during the registration or ordering process. We do not retain this text after its formalization.

The term Pura Mente refers to Pura Mente Meditation Inc., and its wholly-owned subsidiaries, headquartered in Delaware, USA, with an address at 651 N Broad St, Suite 206, City of Middletown, County of New Castle, State of Delaware, 19709.

Our contact email address is [email protected]. You may send all correspondence to Pura Mente, including any queries you may have regarding the use of the Services or these terms and conditions, to this email address or through any other method of communication provided by Pura Mente.

PURPOSE

Pura Mente is an educational app offering meditation and mindfulness guides for any moment of the day. Designed for users of all levels, from beginners seeking basic techniques to advanced users looking to deepen their practice. The meditations are developed by recognized professional teachers from Latin America and Spain and narrated in English by Emily, an AI-generated voice.

CAPACITY – MINORS

The Services are only available to individuals who have the legal capacity to contract in their city, province, territory, or country.

Minors may not use the services without the participation and consent of their legal guardian, parent, or legal tutor, under the complete responsibility of such person.

Also, Pura Mente Users who have been temporarily suspended or permanently disabled according to these terms and conditions may not use the Services.

CHANGES TO THE TERMS AND CONDITIONS

Pura Mente reserves the right to modify these terms and conditions at any time as necessary to improve the provision of the Services, due to the constant volatility of the market, without prior notice at our sole discretion.

To participate in certain Services, you may be asked to agree to additional terms and conditions. Such additional terms are incorporated into these Terms. If these additional terms are not consistent with these Terms, the additional terms prevail.

MEDICAL DISCLAIMER

Pura Mente is an informational and educational company about the benefits that regular meditation and mindfulness practices can offer, based on scientific research conducted by internationally qualified third parties and by the world’s leading health organizations, indicating that such practices may assist in the prevention and recovery of a vast array of health conditions linked to high levels of stress and anxiety.

Pura Mente does not guarantee or declare that the Services offered can promote a therapeutic benefit. The content generated by Pura Mente is intended to be informational and educational support in the relationship of our Users with their healthcare providers. Under no circumstances should Pura Mente be considered a healthcare provider or a provider of medical devices, nor a provider of medical care, and no Service can be considered as a medical treatment tool. Only duly authorized doctors and health service providers have the authority to provide such services.

By using any content or service of Pura Mente, the User declares to be fully responsible for the consequences that may affect their health due to the decision of not consulting with a healthcare professional before starting the practice of meditation or mindfulness.

There is scientific evidence that in very isolated cases of people with psychiatric diseases, the practice of meditation and mindfulness exercises have worsened their medical condition. If you are a patient with existing mental health problems, we suggest you consult your doctor before using any Service of Pura Mente.

Pura Mente may suggest to its Users the possibility of professional treatment, and even offer some information, benefits, and/or discounts at Medical or Psychological Centers, websites, or apps that provide such services, but under no pretext can this be understood as medical advice. The recommendations made by Pura Mente are not made by health professionals and lack the conditions of these.

PURA MENTE REGISTRATION

FREE USERS

To subscribe as a Pura Mente User to the free Services, you must create a Pura Mente account by entering your email and creating a password, for which the User is solely responsible for protecting its confidentiality.

If the User loses or forgets their password, or suspects someone else has access to it, they must request its reset within the “Forgot your password?” option, where they will receive an email to the registered email address to validate their identity. If the User does not have access to the registered email, Pura Mente reserves the right to manually verify the User’s identity based on sufficient proof that the User must present, for example, a subscription receipt issued by a banking entity. This process may take between 7 and 60 business days.

The User commits to keeping their information up to date. During the use of the Services, additional information may be requested, such as your Facebook profile and other similar social media profiles. The treatment of such data is established in Pura Mente’s Privacy Policy.

PURA MENTE PREMIUM PLAN

Pura Mente offers a limited, non-exclusive, and revocable license to transmit, download, and make personal non-commercial use of the Services enabled under the Pura Mente Premium Plan, subject to the Intellectual Property policy, Medical Disclaimer, and Prohibitions developed in these terms and conditions.

Pura Mente operates on a “freemium” business model, meaning Users can access a certain amount of content for free, but to access the rest, they must purchase the Pura Mente Premium Plan based on these terms and conditions. Those Users who acquired the Pura Mente Premium Plan are referred to as “Premium Users or Premium User.”

There are two ways for Users to access the Pura Mente Premium Plan:

1. Free trial: Users can be enabled, without formalization of contract or commitment, to try the paid functionalities of the app as follows:

Subscription to the Premium Plan: a subscription program for a specific period that grants unlimited access to all Pura Mente content, and other additional benefits that Pura Mente offers to its Premium Users. It will only be effective while the registration account is active based on these terms and conditions.

The agreement extends indefinitely. The User can cancel the agreement at any time, applying the rules developed in the “Payment Modalities” section.

WAYS TO ACQUIRE THE PURA MENTE PREMIUM PLAN:

1.  WEBSITE OR PURA MENTE APP

The User can become a subscriber to the Pura Mente Premium Plan through the Website or landing page, or within the Pura Mente app.
Providing the Pura Mente Premium Plan through our Website or app does not constitute a binding offer on our part to formalize a contract, but rather an invitation for you to send us an offer. The subscription contract to the Premium Plan is formalized by sending a confirmation of receipt of your paid subscription offer to the email address you provided as part of the registration process, immediately after the receipt of your paid subscription offer. With this email, we accept your subscription offer to the Pura Mente Premium Plan, which contains the details of your order and the terms and conditions of such contract formalization.

2.  CORPORATE PLANS

If the User is a collaborator or employee of one of the companies that are part of the agreements with Pura Mente, they will be governed by these terms and the agreement in force between the employing company and Pura Mente.

3.    PARTNERSHIPS AND ALLIANCES

If the User has a relationship with a company associated with Pura Mente that enables them to access the Pura Mente Premium Plan, they will be governed by these terms and conditions, and the agreement in force with the associated company.

PRICING AND PAYMENT METHODS

The prices to acquire the Premium Plan are final prices that include taxes and other costs (“Price”), unless otherwise indicated. The Price is displayed before the User makes the Offer to subscribe to the Pura Mente Premium Plan. The price is paid in advance at the time of making the offer by the User. Prices will be paid in the currency of your country at the time of payment.

Pura Mente only receives payments through third-party companies that are duly regulated and authorized by the corresponding government bodies to carry out such transactions. There is an agreement between these companies and Pura Mente to receive payments. Pura Mente is unaware of any transaction not made through a payment company commercially linked to Pura Mente. Payment methods vary according to the User’s country of residence. The payment methods are displayed when making the subscription offer to the Premium Plan contract.

When payment is made through the stores (Apple or Google Play), the terms and conditions established by these platforms will govern. Pura Mente does not have operational capacity to resolve refunds or reimbursements requested in these entities.

PAYMENT MODALITIES

There are two payment modalities for the Pura Mente Premium Plan:

MONTHLY PAYMENT

The monthly subscription period is equivalent to 30 calendar days.

This subscription is paid in monthly installments by the payment methods the User used at the time of formalizing the monthly subscription or other valid payment methods that may be added.

The User grants authorization to Pura Mente to continue billing and making charges until the User cancels the monthly subscription. The User must cancel the subscription before it renews through the available cancellation channels.

If the User cancels once the monthly subscription has already renewed, they will not be entitled to any partial refund.

ANNUAL PAYMENT

The annual subscription period is equivalent to 365 calendar days.

The annual subscription is paid through a single and advance payment with automatic renewal at the end of the corresponding subscription period. The annual subscription rate includes a discount that ceases at the expiration of the annual subscription. The User authorizes Pura Mente to charge the initial annual subscription at a discounted rate in the final price and, upon its expiration, to automatically renew the annual subscription without the initial discount.

The User grants authorization to Pura Mente to continue billing and making charges through the payment methods the User used at the time of formalizing the annual subscription or other valid payment methods that may be added, until the User cancels the annual subscription.

The User must cancel the subscription before it renews through the available cancellation channels. If the User cancels once the annual subscription has already renewed, they will not be entitled to any partial refund.

CANCELLATION OF THE PREMIUM PLAN – REFUND POLICY

The User can cancel the agreement at any time. If the User cancels once the monthly or annual subscription has already renewed, they will not be entitled to any partial refund, except as stipulated in these sections.

The User can cancel their subscription through all available cancellation channels.

To avoid being charged for the next period, the User must cancel the subscription before it renews according to the “Payment Modality” selected.

RIGHT TO TERMINATE THE CONTRACT

Pura Mente’s primary goal is to offer the best service to its users and provides all the information they need to exercise their rights as end consumers.

All individual consumers of Pura Mente have the right to terminate the Premium Plan Contract under the following conditions:

1. You have the right to terminate this contract within 14 days without giving any reason. The 14 days are consecutive and count from the day you had access to the Premium Plan, even if it was for free.
To exercise your right of termination, you must inform us by writing to [email protected] about your decision to terminate this contract through an unequivocal statement. An unequivocal statement refers to an email that contains:
If you do not have access to your email, you must contact [email protected] explaining your situation, and you will be asked for additional information to verify your identity (e.g., payment methods, proof of purchase, dates, etc.).
2. If you decide to terminate this contract under the mentioned conditions, we will refund all payments we have received from you, including delivery costs (except for the additional costs arising from your choice of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and, in any case, no later than 60 days from the date on which we are informed about your decision to terminate this contract. We will make the refund using the same means of payment that you used for the initial transaction unless expressly agreed otherwise.
3. The User is entitled to a refund only once. After receiving the refund, any subsequent subscription will not qualify for the money-back guarantee.
4. No refund will be applied to subsequent renewals of monthly or annual subscriptions.
5. A refund will be made when it is proven that the operation was fraudulent or unauthorized, or the amount charged is different than published, or duplicate charges were made.

CANCELLATION CHANNELS

Email: You can perform any cancellation by sending an email to [email protected]. To activate the cancellation, the email must be the same one registered with your Pura Mente account.

iOS: Keep in mind that if you purchase a subscription through Apple’s iTunes Store or our iPhone app, you can cancel your subscription by turning off the automatic renewal of paid app subscriptions by selecting “Manage App Subscriptions” in your iTunes account settings and choosing the subscription you want to modify.

Android: If you purchase a subscription through the Google Play store, you can cancel the automatic renewals in your account settings under “Subscriptions” in the Google Play app or according to the current process described by Google Play.

CANCELLATIONS MADE BY PURA MENTE

Pura Mente reserves the right to suspend or terminate extraordinarily the use of the Services when there is any breach of these terms and conditions that act as a justifiable cause.

Such termination or suspension can be immediate and without prior notice if it cannot be reasonably expected for Pura Mente to notify you in advance, considering all the specific circumstances of the case and weighing the interests of Pura Mente and its community.

It can be interpreted as justifiable causes for the extraordinary termination or suspension in an illustrative and non-exhaustive manner, under the following sections:

PROMOTIONS, COUPONS, AND DISCOUNTS

Promotions, offers, coupons, or discounts on special prices cannot be accumulated.

Promotions for free days will only be valid for new Users registered in Pura Mente unless expressly indicated otherwise. A new User is understood as those accounts of people who have never registered in Pura Mente before.

Once the discount expires, the User will not have the right to claim its validity. Once a promotion, coupon, or discount is used, it will renew according to the current rate based on the chosen payment modality.

No promotion code or discount will apply to corporate subscriptions or those arising from partnerships between Pura Mente and its associates.

Pura Mente offers some special pricing options with discounts for special Users who have been qualified as such according to Pura Mente’s exclusive criterion. These Users may acquire Pura Mente Services with differentiating discounts, exclusive and limited in time. Pura Mente reserves the right to determine the type of benefit, duration, and conditions to access it.

GIFTS

The “gift subscriptions” are prepaid annual subscriptions to the Services. The contract is formalized according to the annual subscription modality of the Pura Mente Premium Plan.

The person making the purchase is called the “Giver.” The person receiving the annual subscription to the Pura Mente Premium Plan as a gift is called the “Recipient.”

The delivery of the gift will be on the date determined by the Giver. Once purchased, the Giver will receive confirmation and receipt of the Order. Billing and contract formalization occur at the time of purchase, not delivery.

Gift subscriptions are paid as a single upfront payment. No refunds or other credits for the gift subscription that is not redeemed or used will be accepted. Gift codes can only be used once in the country for which they were purchased and are considered out of market items. They cannot be exchanged for any other product or cash, sold, transferred, or assigned under penalty of cancellation. Violation will grant Pura Mente the right to cancel the subscription.

Pura Mente will notify the Recipient when the subscription expiration date is approaching.

PROHIBITIONS

Pura Mente reserves the right to suspend or terminate extraordinarily the use of the Services when there is any breach of these terms and conditions that act as a justifiable cause.

Failing to comply with the provisions of these terms and conditions may constitute an offense under applicable laws. Pura Mente may report such non-compliance to law enforcement authorities and may cooperate with them by disclosing your identity. In the event of non-compliance, your rights to use the Services will cease immediately.

The following prohibitions are mentioned illustratively and not exhaustively. It is prohibited for Users:

INTELLECTUAL PROPERTY

Pura Mente and/or its controlling, controlled, affiliate, or subsidiary companies reserve all rights, including intellectual and industrial property rights, associated with the services of Pura Mente, its websites, the contents of its screens, courses, sessions, meditations, webinars, databases, networks, codes, development, software, architecture, hardware, content, information, technology, integration phases, functionalities, domains, files that allow the User to access and create their Account, sales tools, trademarks, patents, copyrights, industrial designs, trade names, among others, and declare that they are protected by national and international laws in force.

Under no circumstances shall it be understood that the User has any type of right over them except to use the Pura Mente Service as provided in these terms and conditions. Misuse or contrary to current regulations of the intellectual and industrial property rights of Pura Mente, as well as their total or partial reproduction, is prohibited, except with express and written authorization from Pura Mente.

Pura Mente, the Pura Mente logo, and all other trademarks of the products or services of Pura Mente are registered trademarks of Pura Mente. All intellectual property, other registered trademarks, logos, images, product, or company names displayed or referred to on the Services are the property of their respective owners. No provision set forth grants you the license or right to use, alter, remove, or copy such material. Your misuse of the trademarks displayed on the Services is strictly prohibited.

All contents contained in the Services are the exclusive property of Pura Mente and cannot be used, except as provided for in these terms and conditions.

The audio and video content of Pura Mente, which is not explicitly indicated as downloadable, cannot be downloaded or copied from the Services or any device.

You must not use any part of the content used on the Services for commercial purposes without obtaining a written license granted by Pura Mente. The material from the Services cannot be copied, distributed, published, or transmitted in any way without our prior written consent.

It is prohibited to download, view, copy, reproduce, distribute, modify, perform, transfer, create derivative works from, sell, or exploit any content, code, data, or materials from the Services. If you make any other use of the Services or the content, code, data, or materials therein, other than as specified above, you may violate copyright and other applicable state laws and may be subject to liability for such unauthorized use. Pura Mente will enforce its intellectual property rights to the fullest extent of the law, including seeking criminal prosecution.

The Services contain or incorporate material protected by copyright, proprietary rights, or other intellectual property of Pura Mente or its licensors. All rights, title, and properties of the Services remain with Pura Mente or its licensors, as applicable. The rights to download and use the services are granted by license to you and are not sold to you, apart from the use agreed upon in these terms and conditions.

SECURITY – TECHNOLOGY – SERVICE AVAILABILITY

Pura Mente commits to ensuring a 99.5% availability of the Services it offers. The period is calculated from the moment the user makes a purchase and ends on the last day of the month in which the purchase is made. For subsequent months, it will apply from the first day of the calendar month to the last days of the month. Availability is calculated by dividing the number of hours the Services are available by the number of hours they are not available in the month. This does not include hours scheduled for maintenance tasks or platform support, provided that users have been notified at least 3 days in advance.

However, Pura Mente is not responsible for any damage, harm, or loss to the user caused by failures in the system, server, or Internet. Pura Mente will also not be responsible for any virus that could infect the user’s equipment as a result of accessing, using, or examining its website or as a result of any transfer of data, files, images, texts, or audio contained in it. Users cannot attribute any responsibility for damages resulting from technical difficulties or failures in the systems or on the Internet.

DEVICE REQUIREMENTS

Pura Mente is an application available for all Android or iOS devices. To enjoy the Services through your smartphone or other devices, your device must meet certain system requirements. These requirements can be found on the Website and in the Google or Apple app stores.

LINKS TO WEBSITES/HOME PAGE

The site may contain links to third-party websites. Pura Mente has no control over such sites and will not be responsible for the content, materials, actions, and/or services provided by them, nor for any damages or losses caused by the use of these, directly or indirectly.

You may link to our home page as long as you do so in a fair and legal manner that does not damage our reputation or take advantage of it, but you must not establish a link that suggests any form of association, approval, or endorsement on our part where none exists. The presence of links to other websites does not imply a partnership, relationship, approval, endorsement of Pura Mente with such sites and their contents.

You must not establish a link from any website that is not owned by you. The Services must not be framed on any other site. The website from which you are linking must comply in all respects with the content standards set out in our acceptable use policy.

INVALIDITY OF CLAUSES

If any clause included in these Terms and Conditions is declared wholly or partly null or ineffective, such nullity or ineffectiveness will only affect that provision or the part of it that is null or ineffective, subsisting the Terms and Conditions in everything else, considering such provision totally or partially as not included.
